01What AlgoSutra is

AlgoSutra is software you install and operate on your own hardware. We license it to you; we do not run it for you, do not hold your funds, and do not place orders on your behalf.

02Your licence

A valid licence grants you a non-exclusive, non-transferable right to run the software for the term you paid for. Licences are issued per installation. You may not resell, sublicense or redistribute the software, or remove its licensing mechanism.

Licence terms are bounded — a trial of 14 days, subscriptions of one month — and do not renew automatically. When a term ends the software stops opening new positions. It never prevents you closing an existing position, and never disables the kill switch.

03Your responsibilities

• Every order your installation places is your order. You are responsible for the strategies you run and the parameters you set.
• You supply your own broker accounts and API credentials, and must comply with your broker's terms and with applicable law and regulation.
• You are responsible for the security of the machine you run it on, and for your own backups.
• You must test on paper before trading real money.

04Risk

Trading in equities and derivatives carries substantial risk, including the loss of your entire capital; derivatives can lose more than you deposit. Automated systems fail — through defects, connectivity loss, broker outages and market conditions no strategy anticipated. Backtested or past behaviour does not indicate future results.

05No warranty

The software is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted, error-free, or that it will achieve any particular outcome.

06Limitation of liability

To the maximum extent permitted by law, we are not liable for any trading losses, lost profits, lost data, or indirect, incidental, special or consequential damages arising from your use of the software. Our total aggregate liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.

07Suspension and termination

We may suspend or revoke a licence for non-payment, or for use that breaches these terms. Because licences are verified offline, a revocation takes effect when your installation next contacts us, or when its current term expires. You may stop using the software at any time; see the refund policy.

08Changes

We may update these terms. Material changes are reflected in the "last updated" date above and apply to terms purchased afterwards.

09Governing law

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute arising from them.
